Markets and companies of the Telekom Slovenije Group

Telekom Slovenije Group comprises the parent company Telekom Slovenije, d. d., and the subsidiaries and joint ventures shown in the figure below with the corresponding participating interests.

* An agreement on the purchase of a 30 % participating interest in Aneks, d. o. o. was signed in December 2012. Telekom Slovenije became 100 % owner of the aforementioned company following the entry of the transfer of the participating interest in the companies register (February 2013).

Changes in the composition of the Group in 2012

  • On the basis of an increase in share capital via a new capital contribution made in December 2011, resolutions adopted by the general meeting and entry in the companies register in Bosnia and Herzegovina, Telekom Slovenije becomes the owner of a new participating interest in SiOL, d. o. o., Sarajevo in the amount of BAM 2,933,745.00.
  • Telekom Slovenije adopts a decision at the general meeting of its subsidiary Avtenta.si to increase the latter’s share capital through a cash contribution of EUR 3.2 million. Following this injection and entry in the companies register, the company’s share capital amounts to EUR 4,869,170.00.
  • Following the completion of liquidation proceedings, Pogodak, d. o. o., Belgrade – in liquidation is deleted from the Serbian companies register on 1 February 2012.
  • Pursuant to the resolution of the general meeting of Aneks, d. o. o., Banja Luka of 15 February 2012, the aforementioned company's share capital is increased by BAM 2,542,579.00 or EUR 1,300,000.00 on the day of the resolution. Telekom Slovenije contributes 70 % to the increase with a payment of BAM 1,779,805.30. The remainder is paid up by a minority shareholder. The company's share capital totals BAM 14,092,086.00 following the increase.
  • Pursuant to the resolution of the sole owner, Avtenta.si, d. o. o. is renamed Avtenta, napredne poslovne rešitve, d. o. o. (abbreviated name: Avtenta, d. o. o.) on 8 March 2012.
  • Telekom Slovenije increases the share capital of SIOL, d. o. o., Podgorica in April 2012 by EUR 2,010,000.00. The company's share capital now totals EUR 2,340,000.00, while Telekom Slovenije’s payment resulted in the acquisition of a new participating interest in the company in the amount of EUR 2,010,000.00.
  • On the basis of a cash contribution in June 2012, Telekom Slovenije becomes the holder of a new participating interest in Soline, d. o. o. in the amount of EUR 147,000.00. The aforementioned company's share capital totals EUR 4,047,330.92 following the increase.
  • Following the completion of liquidation proceedings, the Dutch subsidiary SIOL, B.V. (in liquidation) is deleted from the companies register in Amsterdam on 12 July 2012.
  • Following the completion of liquidation proceedings, the Croatian company Pogodak Tražilica, d. o. o., Zagreb is deleted from the companies register in Zagreb on 23 August 2012.
  • Telekom Slovenije adopts a decision at the general meeting of its subsidiary TSmedia, d. o. o. to increase the latter’s share capital through a cash contribution of EUR 5 million. Following the increase and its entry in the companies register, TSmedia, d. o. o.’s share capital amounts to EUR 5,568,817.00 as at 31 August 2012.
  • Telekom Slovenije, d. d. signs an agreement with the minority owner of Aneks, d. o. o., Banja Luka on the purchase of a 30 % participating interest in the aforementioned company. Following the entry of the transfer of the participating interest in the companies register in Banja Luka in February 2013, Telekom Slovenije, d. d. becomes 100 % owner of the aforementioned company.
  • Telekom Slovenije, d. d. signs an agreement with the minority owners of Primo Communications, d. o. o., Albania on the purchase of a 25 % participating interest in the aforementioned company. Following the entry of the transfer of the participating interest in the companies register in Tirana, Telekom Slovenije, d. d. becomes 100 % owner of the aforementioned company.
